Philippines Company Registration

Foreign companies in the Philippines can establish companies, branches/subsidiaries, or representative offices. The minimum registered capital requirements are USD 200,000 for companies, USD 30,000 for representative offices, and PHP 500,000 for partnerships.

I. Types of companies for foreign investors to set up companies in the Philippines

• Wholly foreign-owned subsidiary
  
  Foreign investors can establish subsidiaries with independent legal identities in the Philippines, which can be 100% foreign-owned. The Philippine company only needs to appoint a local secretary and must comply with the Foreign Investment Negative List (FINL) when setting up.
• Joint venture company
  If the business project falls under the scope of FINL, foreign investors in certain ventures may be required to form a domestic partnership with Filipino nationals, in accordance with the shareholding ratio set by law.
• Foreign branch
  Establishing a branch in the Philippines to conduct specific business activities does not grant independent legal status. Foreign company branches in the Philippines must obtain a license from the Securities and Exchange Commission (SEC) upon incorporation.
• Representative Office
  A representative office, established as an extension of the foreign parent company in the Philippines, handles administrative and technical tasks without engaging in business operations. It requires a minimum capital of US$30,000, which must be remitted by the parent company.

II. The basic process of setting up a Philippine company

1. Joint-stock companies and partnerships retain their business names and proceed with the registration application.
2. Apply for district-level and municipal-level commercial licenses.
3. Apply for a Certificate of Registration (COR) and TIN with the Bureau of Internal Revenue (BIR)
4. Open a Bank Account
5. Get an employer social security number.
6. Obtain membership in the government health insurance system.
